These Terms of Use (the “Terms”) govern your access to and use of the website at kanatalabs.com and any pages or content published under that domain (the “Site”) by Kanata Labs LLC (“Kanata Labs,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope

These Terms apply to the corporate Site only. Software we deliver under client engagements, and games or other products we publish, are governed by their own separate agreements and end-user terms, which are provided alongside those products.

• Attempt to gain unauthorized access to the Site, its servers, or any related systems;
• Interfere with or disrupt the Site, including by introducing malware, sending automated traffic intended to overload the Site, or scraping in a way that imposes an unreasonable load;

“Kanata Labs” and the Kanata Labs name and logo are trademarks of Kanata Labs LLC. You may not use them without our prior written permission.

4. Submissions

If you send us comments, questions, suggestions, or other materials through the Site or by email (“Submissions”), you grant Kanata Labs a non-exclusive, royalty-free, worldwide license to use those Submissions in connection with operating our business. Do not send us anything you consider confidential unless we have a written agreement in place that says otherwise.

The Site may link to third-party websites or services. We do not control those third parties and are not responsible for their content, policies, or practices. Your dealings with any third party are solely between you and that third party.

6. No professional advice

Content on the Site is provided for general information only and does not constitute legal, financial, tax, or other professional advice. Any decisions you make based on Site content are your own responsibility.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KANATA LABS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless Kanata Labs and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or your violation of these Terms.

10. Changes to the site or terms

We may modify, suspend, or discontinue any part of the Site at any time. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Site that is not resolved informally will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

12. Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kanata Labs regarding the Site.
